Terms of Service

This is an English translation of our Spanish-language terms for convenience. The Spanish version at deliverycontrol.mx/terminos is the legally binding version under Mexican law.
1. Acceptance
By contracting Delivery Control (“DC”) services, operated by XN Systems SAS de CV (“we”), you accept these terms. If you do not agree, do not contract the service.
2. Description of the service
Delivery Control offers consulting and direct operation of delivery platforms (Uber Eats, Rappi and similar) for restaurants in Mexico. It includes menu engineering, ad management, price architecture, availability monitoring and executive reporting.
3. Access to your platforms
To deliver the service we need administrator access to your Uber Eats, Rappi and similar portals. This is done by inviting the account ops@deliverycontrol.mx as an administrator user. We do not request or store passwords.
4. Initial call
The initial diagnostic call (around 20 minutes) is free and with no obligation. During the call we assess whether your operation fits our service and present concrete options.
5. Contracting models
We offer two models, at the client's choice:
- Fixed monthly fee: starting at $12,500 MXN per month per location, billed automatically via Stripe.
- Performance commission: 2.5% on gross platform sales, with a 6-month minimum commitment, invoiced manually each month together with the executive report.
Prices expressed in Mexican pesos (MXN) plus VAT. The specific plan, scope and conditions are formalized in writing before kickoff.
6. Scope and commitment
We deliver a monthly executive report with real metrics: sales, ROAS, average ticket, availability and recommendations. We do not guarantee specific financial results: published results represent individual cases under particular conditions.
7. Confidentiality
All operational and financial information shared by the client is treated as confidential. We may use anonymized metrics (without identifying the restaurant) for marketing purposes, unless the client indicates otherwise in writing.
8. Termination
Under the fixed monthly fee model you can cancel at any time with 30 calendar days of notice. Service continues until the end of the paid period. Under the performance commission model, the 6-month minimum commitment signed at kickoff applies.
9. Intellectual property
The “Delivery Control” brand, its methodology and software are property of XN Systems SAS de CV. Your business data is and remains yours. We deliver it exported to you at the end of the service.
10. Limitation of liability
The service is provided with professional diligence. We are not liable for sanctions, closures or policy changes by third-party platforms (Uber Eats, Rappi, etc.). Our maximum aggregate liability is limited to the amount paid by the client in the last 12 months.
11. Modifications
We may update these terms. We will notify active clients by email with 30 calendar days of advance notice for material changes.
12. Governing law
These terms are governed by the laws of the United Mexican States. Any dispute will be resolved before the competent courts of Guadalajara, Jalisco.
